GENERAL POLICIES AND PRACTICES:

At Image-Impact (IwI) we like our customers and want our customers to like us. Our philosophy is to exceed the expectations of our clients every time we do a job for them. We build genuine long term relationships based on proven performance and mutual trust. We value all of our clients and we value clients who share our concept of relationship especially so.

At IwI we provide written estimates and seek our client's approval of them before beginning a job. If the scope and cost of a job evolves during its completion, we communicate with our clients first when we believe the original estimate may be exceeded.

In many cases we streamline the estimating process through develop of strategic, preferred relationships with our repeat clients.

Whenever possible, we like to provide fixed price estimates for a desired outcome. We prefer to avoid surprises. We work with our clients at the beginning to understand the job scope and costs. Sometimes due to the nature of a specific assignment it isn't possible to estimate a fixed price. When that happens we include hourly rates in our estimates.

Rights to our photographic images and graphic designs (brochures, newsletters etc.) are licensed to our clients for specific uses and specific periods of times and/or other criteria based on the needs of each individual client.

We hold ourselves and our clients to a high standard of honesty and integrity in all of our business activities.

Communication with Our Clients:We communicate with our clients using email as the primary method for providing estimates, invoices and other important communications. We like things written down and we hold ourselves and our clients accountable to our written commitments.

We keep costs low by delivering images, brochure drafts, selected proofs, contact sheets (if any) by email and/or website. Of course printed collateral marketing materials still get delivered the old fashioned way.

We fully understand that during the course of completing a job, requirements can and often do change. At IwI we strive to understand, communicate and formalize changes with the client in a manner that best preserves quality, service and cost.

SPECIFIC PRACTICES:Starting a New Assignment:

All initial discussions about a new job assignment that are completed before a written estimate are done at no cost to our clients. Initial discussions usually result in a written estimate for the client that outlines the job scope, cost, timing and products & services to be provided.

We prefer to receive written estimate approvals from our clients. In lieu of this, we interpret any client engagement actions (such as providing access to shoot locations etc.) as approval of our estimate.

Photography - Shoots Involving Specific Locations:When necessary an IwI Location and Property Release Contract may be required. For our client's convenience, this web page contains a link to our standard contract form. When required, this form should be printed, completed and signed by the appropriate person, and returned to IwI prior to the scheduled shoot date.

For our client's convenience, this web page contains a link to our standard contract form. When required, this form must be printed, completed and signed by the appropriate person, and returned to IwI prior to the scheduled shoot date.

Designs for Brochures, Newsletters and Other Collateral Materials:We provide our clients with unlimited design changes to their projects for a period of two weeks, beginning at the date of the the first draft brochure design delivery to the client. In cases where the written estimate includes a targeted sign-off for printing date, the client is provided with an unlimited number of design changes up to and including this date.

Client requested changes that are agreed to and completed by IwI after either one of these cut-off dates are invoiced to the client at the standard hourly rate.

Estimates provided by IwI for graphic design of templates for brochures, newsletters, and other collateral materials provide estimated costs for design of the blank template (without content) as well as licensing to the client the rights for use of the blank template design as outlined in the estimate.

During the process of design, review and client approval of graphic designs, IwI may provide the client with electronic format examples of the product. These files will be delivered using email and will be provided in a secured format that allows the client view only capability using Adobe Acrobat Reader.

If the client requests a physical meeting for consultation meetings including a sign-off for printing, the costs for attending the meeting will be charged at the consultation hourly rate.

Unless otherwise specified in the estimate, IwI will provide template designs optimized for high quality commercial 4-color CMYK printing.

Commercial Printing:IwI is your source for commercial printing. Depending on the size and type of your printing requirements, IwI may recommend use of preferred commercial printing firms where established relationships often help to optimize quality, timing and cost of your delivered printing job.

With IwI printers you can be sure of receiving a 100% satisfaction guarantee. If your print job doesn't meet your requirements it will be reprinted or your money will be refunded.

IwI can also work with selected commercial printers as requested by the client. Additional fees are often invoiced to the client for non-standard printer requests and of course IwI can't guarantee their customer satisfaction.

When a design is ready for commercial printing, IwI will request and receive a written sign-off for printing from the client before forwarding the job to the printer. The purpose of this sign-off is to ensure the client has approved and is happy with all aspects of the layout and design including but not limited to: layout, backgrounds, images, CMYK color selections, fonts, and all content and text and other items and information developed by IwI and/or provided by the client for use in the final product.

When the earlier of either the two week unlimited design changes time period has expired, or a sign-off for printing has been completed by the client, IwI will invoice the client for design, printing services, mailing services and handling fees. It is IwI policy to forward printing jobs to commercial printers immediately after receiving after these fees from the client.

Unless otherwise specified, IwI fees for handling commercial printing orders and/or mailing services on behalf of the client, including order placement, printer proof review, payment processing, order acceptance, quality inspection and delivery fees, are invoiced at 11.2% of the delivered cost for printing and/or mailing services.

Graphic designs intended for commercial printing will be developed and optimized for CMYK, 4-color printing.

Mailing Services:

When ordering mailing services, it is the client's responsibility to provide IwI with an address file in a format suitable such that it may be forwarded to IwI's mailing service provider. If necessary, and if requested by the client, IwI can assist in the client in developing proper file formats necessary to communicate a mailing list to the commercial printer. IwI will invoice for this activity at the standard hourly rate.

Content Fulfillment:Costs for populating template designs with content (copy, images, graphs etc.) are not included in the estimate for template design. Unless otherwise specified, loading of content into templates will be invoiced at the standard hourly rate.

The client is responsible for creating all copy content and ensuring the correct content is provided to IwI. Unless otherwise specified, IwI is not responsible for development of any copy, or proof reading or checking grammar of any client supplied content.

Following is a partial list of common services related to content fulfillment that are subject to additional fees:

Content/copy development: If asked, we can develop your copy content for you. We will invoice for this service based on our minimum charge and at our standard hourly rate.

Preparation of Client Supplied Images: Images that have been previously licensed from IwI are prepared at no cost to the client. When can also prepare client supplied images for content fulfillment and we will invoice for this service based on our minimum charge and at our standard hourly rate.

Preparation of Artwork & Logos: When can also prepare artwork and logos as desired by the client. We will invoice for this service based on our minimum charge and at our standard hourly rate.

Fonts: Our estimates are prepared assuming use of fonts that currently exist in our library. Additional fonts requested by the client will be invoiced at cost.

IwI images, text or any other content that is requested by the client to be developed and provided in the course of a job is subject to license fees for use.

Types of Files and Formats:For photographic images, each image file is delivered in "jpeg" format unless otherwise specified. IwI has the capability to provide virtually every other type of modern image file format based on the end use needs (website, high quality printing) of our clients.

Graphic designs of brochures, newsletters and collateral marketing materials that are licensed for web or electronic use by the client will be delivered in Adobe "pdf" format with security set for: client - view only capability, and IwI - controlled revisions.

Graphic designs of brochures, newsletters and collateral marketing materials that are licensed for hard copy print use by the client will be delivered in Adobe "pdf" format with security set for: client - capability for high quality printing, and IwI - controlled revisions.

Graphic designs of brochures, newsletters and collateral marketing materials that are licensed for full 4-color commercial printing will be delivered in Adobe "pdf" format with security set for: client - view only capability, and IwI - controlled revisions.

Delivery of Finished Products:Delivery is free for our clients when using our standard delivery method. This method provides the fast, cheapest and safest way possible to receive your finished products.

Our standard delivery method includes delivery of finished products in electronic format (photo images for example) by way of a password secured ZIP archive file that can be easily read and "extracted" by the client. Large files will be sent to the client through a web based service that provides large file emailing capability. The password required to unlock or extract files will be provided to the client upon receipt of payment in full.

Delivery for finished products on media (such as CD Rom) or hard copy, printed format includes delivery by US postal service to the client's address as shown on the most current estimate. Files delivered on CD Rom will use the same secured ZIP format as described in the paragraph above and is subject to an extra charge.

We are always happy to discuss unique delivery needs with our clients. Non-standard delivery methods are typically subject to additional costs.

Proofs:A subset of proofs for your project, selected by IwI, may be provided at no cost on the IwI website. If available, they may be accessed by clicking on "client proofs" from the IwI home page.

If requested by the client, a color contact sheet containing all images in the photo assignment may be emailed in view only Adobe pdf format at no cost.

If requested, a full set of proofs can be provided to the client, either on the website or in hard copy format subject to additional cost.

Client Payment Terms:Payment is due at or before the time of delivery of products or services. The due date for payment is defined as the date shown on the invoice from IwI.

Clients will be asked for credit card billing information at the time an assignment is kicked off. Billing to the client credit card will take place when product and services have been delivered as outlined here.

IwI may request an up-front deposit before initiating a job assignment depending on the nature of the client relationship and/or products and services to be provided that may require this.

IwI reserves the right to request that client checks or any other methods of payment clear the banking system before delivering finished products.

It is IwI practice to deliver new products and services to clients that are current with payments.

Replacements:If, for whatever reason you require replacement images or other products, contact us and we may be able to help. It is IwI practice to keep previous client work on file for a minimum time period of 6 months. We often keep some work much longer. See replacement fees below.

Fees and Rates:
Proofs:

Proofs - hard copy (if requested): 8.5 x 11 page - $12.00 per page plus delivery
Proofs - hard copy (if requested): 11 x 17 Brochure - $45.00 plus delivery
Proofs - full set of low resolution on web page (see Links) - $4.00 per image.

Materials and Prints:

Prints: 8 x 10 image print - $40 plus delivery.
CD-Rom - $20.00 plus delivery.

Delivery:

Delivery of products to client place of business: - $40.00.

Replacement of Images or Graphic Designs:

Within 6 months from original invoice date using the same delivery method (CD etc.) and delivery address per the original invoice - No charge.
Within 6 months from original invoice date using a different and agreed upon delivery method and/or delivery address per the original invoice - $65
Over 6 months from original invoice date - Call or email us for availability and fees. We may have your work but do not guarantee availability after 6 months.

IwI Standard Hourly Rate: $75.00
IwI Consultation Hourly Rate: $50.00

TERMS AND CONDITIONS:
Written estimates and invoices together with the information on this web page, iwipolicy.blogspot.com, contain the entire agreement (the agreement) for IwI products and services. They supersede any and all prior representations and agreements whether written or verbal.

Neither IwI nor the client shall be bound by any purchase order, term, condition, representation, warranty or provision other than as specifically stated the agreement. No waiver or modification may be made to any term or condition contained in the agreement unless done so in writing by IwI.

Delays not caused by IwI including but not limited to lack of location accessibility or lack of location readiness will result in additional fees at the standard hourly rate.

Client and client's representatives are jointly and severally responsible for full payment of all fees, charges and advances. The rights licensed, fees, charges and advances set forth in the agreement apply only to the original specification of services. Additional fees and charges shall be paid by client for any subsequent changes, additions or variations requested by client. Advance payments (if any) are due prior to beginning the job.

IwI shall not be in default of the agreement by reason of its delay in the performance of or failure to perform, in whole or in part, any of its obligations hereunder, if such delay or failure results from occurrences beyond its reasonable control and without its fault or negligence.

Client is responsible for having its authorized representative present during all “shooting” and other appropriate phases of the service(s) to approve IwI’s interpretation of the service(s). If no representative is present, IwI’s interpretation shall be accepted. Client shall be bound by all approvals and job changes made by client’s representatives.

Unless otherwise specified, face-to-face or telephone consultation meetings that take place between IwI and the client after the job is approved and in-process will be invoiced at the consultation hourly rate.

Full fees for products and services as shown in the estimate are due immediately in the event of cancellation of job by the client for any reason before it is completed.

Client shall pay 100% of IwI’s fees and charges for any re-shooting or redoing of products and services requested by client.

Rights are granted to the client as described in the estimate and invoice upon receipt of payment in full and upon agreement with all terms and conditions in this agreement. Rights granted are non-exclusive and non-assignable. Unless otherwise stated in the estimate, rights are granted for a period of one year from the date of invoice and upon receipt payment in full.

IwI reserves all rights in the image(s) of every kind and nature, including, without limitation, electronic and hard copy publishing and use rights, in any and all media, throughout the world, now existing and yet unknown, that are not specifically licensed or transferred by the agreement. No license is valid unless signed by IwI. Client shall not assign any of its rights or obligations under the agreement.

Unless otherwise stated, estimates for photography and graphic designs are valid for one week from issue date. Estimates for printing and mailing services are subject to change.

The relationship between IwI and the client is that of an independent contractor.

No model, property, trademark, or other such release exists for any image(s) unless IwI submits to client a separate release signed by a third party model or property owner.

IwI may open or close window treatments and re-arrange contents at the location as required for a photo image. Client agrees that IwI is not responsible for any damage or loss to the interior, exterior or contents of the property resulting either directly or indirectly from any IwI activities at or near the job location.

IwI is granted the right to use images of the client for IwI sales, exhibitions, for submission to stock agencies, and for advertisements that promote IwI skills. IwI is granted permission to display the images for the above mentioned purposes using any and all electronic publishing or digital media now existing and yet unknown including the Internet. The client as well as all persons and models appearing in the images grant IwI the use of his/her name and names of affiliated groups and organizations and the use of biographical information. IwI and those acting with the permission of IwI agree/s not to use or allow images of the model in whole or in part to be used in ways that would slander, embarrass, attack, or deform the character or person of the model.

Client agrees that IwI’s entire liability shall in no event exceed the fees paid to IwI. Client agrees that under no circumstances shall IwI be liable for general, consequential, incidental or special damages arising from this agreement, the services, the image(s) or any acts or omisions on IwI. Client shall indemnify, defend and hold IwI and IwI's representatives harmless from any and all claims, liabilities, damages, and expenses of any nature whatsoever, including actual attorneys’ fees, costs of investigation, and court costs arising from or relating to client’s direct or indirect use of the Image(s) or in connection with Licensor’s reliance on any representations, instructions, information, or materials provided or approved by client.
